Lumee Terms of Service

These Terms of Service ("Terms") govern access to and use of Lumee, the data connector and business intelligence service operated by Each Ember Inc. ("Each Ember", "we", "us"). Lumee is provided to businesses ("Client", "you") as part of an engagement with Each Ember. By connecting a third-party account to Lumee or by using Lumee, you agree to these Terms on behalf of the business you represent.

1. What Lumee is

Lumee connects, with your authorisation, to business systems you already use, copies business records from those systems into a Google Cloud project dedicated to your business, and lets people you authorise ask questions of that data through an assistant of your choosing. Lumee does not include or provide an AI model. Any assistant you use to reach Lumee is provided by a third party under your own agreement with that party, and this agreement does not change it.

2. Your accounts and authorisations

You connect a third-party system to Lumee through that system's own authorisation flow. We never ask for, receive, or store your username or password for any third-party system. You may disconnect any system at any time from the connection dashboard, and disconnecting revokes our access at the provider and begins deletion of that system's data from your project as described in the Privacy Policy.

You are responsible for ensuring you have authority to connect each system and to grant Each Ember access to the data in it.

3. Read-only access

Lumee reads from the systems you connect. It does not create, modify, or delete records in any connected third-party system. If a future capability would change that, it will be offered as a separate, explicitly opt-in service under its own terms.

4. Your data

Data copied from your connected systems remains your data. Each Ember processes it only to provide Lumee to you and to operate, secure, and improve the service, as described in the Privacy Policy. Each Ember does not sell your data, does not use it to train models, and does not disclose it to any other Each Ember client.

5. Third-party platforms

Your use of QuickBooks Online, Shopify, Amazon Selling Partner, Square, GoHighLevel, or any other connected platform is governed by that platform's terms. Each platform may suspend or revoke Lumee's access under its own policies. Each Ember is not responsible for the availability, accuracy, or conduct of any third-party platform.

6. Acceptable use

You will not use Lumee to access data you are not authorised to access, to attempt to reach another client's data, to circumvent any rate limit or access control, or in violation of any connected platform's terms.

7. Availability and accuracy

Lumee is provided as part of a professional services engagement and is subject to the service terms of that engagement. Figures Lumee reports are derived from the data in your connected systems as of the most recent synchronisation, and Lumee states the synchronisation time alongside figures where available. You remain responsible for decisions made on the basis of those figures.

8. Termination

Either party may end access to Lumee in accordance with the engagement agreement. On termination, Each Ember deletes your data from your dedicated project and from Each Ember's systems as described in the Privacy Policy.

9. Disclaimers and limitation of liability

Lumee is provided "as is" to the extent permitted by law. To the maximum extent permitted by law, Each Ember's aggregate liability arising from Lumee is limited as set out in the engagement agreement between you and Each Ember.

10. Governing law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. The state and federal courts serving Maricopa County, Arizona are the exclusive venue for any dispute arising from them.

11. Changes

We may update these Terms. Material changes will be notified through the connection dashboard or by email to the connecting account before they take effect.
